Seller Agreement

This Seller Agreement (“Agreement”) is entered into between Vowloo (“Vowloo,” “we,” “us,” or “our”) and the seller (“Seller,” “you,” or “your”) who applies to sell products on www.vowloo.com (the “Platform”).

By applying to sell, listing products, or completing any sale on Vowloo, you agree to be bound by this Agreement.

1. Platform Overview

Vowloo is a curated, luxury-only multi-vendor marketplace offering new and pre-loved luxury fashion, jewelry, watches, and lifestyle items.

Vowloo acts solely as a platform facilitator and is not the seller of record unless explicitly stated.

2. Seller Eligibility & Approval

Selling on Vowloo is approval-only
Sellers must provide accurate business or personal verification
Vowloo reserves the right to approve, reject, suspend, or revoke Seller access at its discretion

Approval may be withdrawn if standards are not maintained.

3. Seller Obligations

Sellers agree to:

List only authentic luxury items
Accurately describe products, pricing, and condition
Comply with all applicable laws and regulations
Fulfill orders professionally and on time
Maintain luxury-appropriate customer service

Sellers are fully responsible for their listings and transactions.

4. Product Listings

Sellers must:

Provide truthful descriptions and original images
Clearly identify items as New or Pre-Loved
Disclose all material details, wear, or defects
Avoid misleading language or representations

Vowloo may remove listings that fail to meet standards.

5. Pre-Loved Luxury Requirements

For Pre-Loved items, Sellers must:

Follow Vowloo’s Condition Grading Guide
Clearly disclose condition and imperfections
Provide proof of authenticity upon request

Misrepresentation may result in immediate removal or termination.

6. Authenticity & Anti-Counterfeit Policy

Counterfeit, replica, or unauthorized goods are strictly prohibited
Sellers guarantee the authenticity of all items
Vowloo may request documentation at any time

Any counterfeit activity results in immediate termination and possible legal action.

7. Pricing & Commissions

Sellers set their own prices
Vowloo charges a commission on completed sales (communicated separately)
Commissions are deducted before payout

Vowloo may update commission rates with prior notice.

8. Payments & Payouts

Payments are processed via approved third-party providers
Payout schedules are communicated during onboarding
Sellers are responsible for all applicable taxes and duties

Vowloo does not provide tax or legal advice.

9. Shipping & Fulfillment

Sellers must:

Ship items within stated processing times
Use secure, trackable, and insured shipping
Package items to luxury standards
Provide accurate tracking details

Sellers are responsible for fulfillment errors.

10. Returns & Refunds

Sellers must comply with Vowloo’s Returns & Refund Policy
Return eligibility must be clearly stated on listings
Approved refunds must be processed promptly

Vowloo may intervene to uphold platform standards.

11. Seller Conduct

Sellers may not:

Engage in fraudulent or deceptive behavior
Circumvent platform payments
Contact buyers outside Vowloo without approval
List prohibited items
Re-list removed or flagged products

12. Intellectual Property

Sellers retain ownership of their content
Sellers grant Vowloo a non-exclusive, royalty-free license to use content for platform and marketing purposes
Sellers must respect third-party IP rights

13. Performance Monitoring

Vowloo may monitor:

Order fulfillment rates
Customer complaints
Authenticity disputes
Listing accuracy

Poor performance may result in suspension or termination.

14. Suspension & Termination

Vowloo may suspend or terminate Seller accounts for:

Policy violations
Authenticity breaches
Misrepresentation
Legal or regulatory risk

Termination does not release Sellers from outstanding obligations.

15. Limitation of Liability

To the maximum extent permitted by law:

Vowloo is not liable for Seller losses, missed profits, or business interruption
Vowloo does not guarantee sales volume or exposure

16. Indemnification

Sellers agree to indemnify and hold harmless Vowloo from claims arising from:

Breach of this Agreement
Product defects or misrepresentation
IP infringement
Legal or regulatory violations

17. Confidentiality

Sellers must keep all non-public platform information confidential.

18. Governing Law

This Agreement is governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

19. Amendments

Vowloo may update this Agreement at any time.
Continued use of the Platform constitutes acceptance of changes.
